1. Acceptance of Terms
By engaging LAYHIGH's services, requesting a quote, or using this website, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services or proceed with any engagement.
2. Our Services
LAYHIGH is a freelance collective specializing in high-quality digital solutions, including:
- SaaS platform development
- Web application development
- Mobile application development
- 3D website design and interactive development
- UI/UX design and prototyping
- 3D modeling, animation, and visualization
We operate as a collaborative team, delivering personalized and creative services tailored to each client’s needs.
3. Project Workflow and Engagement
3.1 Project Process
All projects follow a structured two-phase approach:
- Design Phase (UI/UX & 3D): We begin with UI/UX design, wireframing, prototyping, and any required 3D assets. This phase continues until all design mockups, content, visuals, and iterations are fully reviewed and approved in writing by the client.
- Development Phase: Only upon approval of the complete design package do we proceed to development, implementation, and integration.
3.2 Scope Definition
The project scope, deliverables, timelines, milestones, and fees will be clearly outlined in a separate Proposal, Quote, or Statement of Work (SOW) agreed upon by both parties. Any changes must be documented via written change requests.
3.3 Client Responsibilities
- Provide timely feedback, content, assets, and approvals
- Extended delays (beyond 7–10 business days) may result in the project being paused or rescheduled.
- Respond to communications within 3–5 business days (or as agreed)
- Make payments as per the agreed schedule
- Supply accurate and complete project requirements upfront
4. Payment Terms
- Projects will commence only upon receipt of an initial deposit (typically 50% of the total project fee; the exact percentage may vary based on project size and complexity, as specified in the proposal).
- Milestone payments (where applicable) shall be due upon completion and client approval of each defined phase.
- The final balance must be paid in full and cleared prior to deployment to live servers or final delivery of project assets.
- Any additional pages, features, sections, or 3D elements requested beyond the originally approved scope will be subject to additional charges, quoted separately.
- Late payments may incur interest at a rate of 1.5% per month and may result in suspension of services until payment is received.
- All fees are quoted exclusive of applicable duties, or other charges unless explicitly stated otherwise.
5. Intellectual Property Rights
5.1 Ownership
Upon full payment of all fees, the client receives ownership of the final deliverables created specifically for the project (e.g., custom code, designs, 3D models), excluding any pre-existing tools, libraries, templates, or third-party components.
5.2 License and Portfolio Use
LAYHIGH retains the right to showcase completed projects in our portfolio, website, social media, and marketing materials unless a separate non-disclosure or exclusivity agreement is signed.
6. Revisions and Scope Changes
- Reasonable revisions within the original approved scope are included during the design phase.
- Major revisions, new features, additional pages/sections, or extra 3D work outside the agreed scope will be treated as change orders and billed separately.
- All change requests must be submitted in writing.
- Scope changes may affect timelines and pricing.
7. Confidentiality
We treat all client information as confidential and will not disclose it to third parties without written consent, except as required by law. Our small team handles projects directly with strict internal confidentiality practices.
8. Limitation of Liability
To the maximum extent permitted by law, LAYHIGH's total liability shall not exceed the total fees paid for the specific project. We are not responsible for indirect, consequential, or punitive damages, including loss of profits or data.
9. Termination
Either party may terminate the engagement with written notice. Upon termination:
- The client pays for all work completed up to the termination date
- We deliver all completed work product
- Both parties return or destroy confidential materials
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. The parties agree to first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiations.
If the dispute is not resolved within a reasonable period, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Chennai, India.
Subject to the above, the courts of Chennai, India shall have exclusive jurisdiction over all matters arising under these Terms.
11. Cancellation and Refund Policy
- If the project is cancelled before any work has commenced, the full initial deposit will be refunded.
- Once the project has started, the initial deposit becomes non-refundable, as it covers the initial planning and work completed.
- In the event of cancellation, charges will apply only for the work completed up to the cancellation date.
- Any applicable refunds will be processed within 7–10 business days after mutual agreement on the final amount.
- After final delivery or deployment of the project, refunds are not applicable.
- In the unlikely event of significant delays or non-delivery directly attributable to us, a fair resolution, including a partial refund if appropriate, will be discussed and mutually agreed upon.
All cancellations and refunds are handled on a case-by-case basis with transparency, with the aim of reaching a fair outcome for both parties.
12. Amendments
We may update these terms periodically. Continued engagement after changes constitutes acceptance of the updated terms.
